Product Reseller Agreement

This Product Reseller Agreement (the “Agreement”), dated as of the ______ day of _____________ (the “Effective Date”) , is entered into by and between [COMPANY], a [STATE] [TYPE OF ENTITY] (“[COMPANY]”) and _______________________________, a [State or Country of Organization] [Type of Entity] (“Reseller”, and together with [COMPANY], the “Parties”, and each, a “Party”).

Recitals

WHEREAS, WHEREAS, [COMPANY] is in the business of producing for sale certain [COMPANY] genetic testing kits, patent technology and related reports (hereinafter referred to as the “Products” (wherein one unit of Product is referred to as a “Kit”, as more fully set forth below) for purposes of determining and providing dosage recommendations to consumers interested in using CBD and related compounds for relief of certain conditions;

WHEREAS, Reseller is in the business of marketing and reselling products that are similar in kind and/or quality and/or complimentary, whether via the internet (Reseller website platform with ecommerce) or brick and mortar retail or in person, to the Products;

WHEREAS, Reseller wishes to purchase the Products from [COMPANY] and resell these Products to Customers (as defined below), subject to the terms and conditions of this Agreement; and

WHEREAS, [COMPANY] wishes to sell the Products to Reseller and appoint Reseller as a non-exclusive reseller under the terms and conditions of this Agreement.

AGREEMENT

NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set out herein including the above Recitals which are incorporated and made a part of this Agreement and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

Definitions

Capitalized terms have the meanings set out in this Section, or in the Section in which they first appear in this Agreement.

“Action” means any claim, action, cause of action, demand, lawsuit, arbitration, inquiry, audit, notice of violation, proceeding, litigation, citation, summons, subpoena, or investigation of any nature, whether civil, criminal, administrative, regulatory, or other, and whether at law, in equity, or otherwise.

“Affiliate” of a Person means any other Person that directly or indirectly, through one or more intermediaries, Controls, is Controlled by, or is under common Control with, this Person.

“Agreement” has the meaning set out in the preamble.
