SERVICE AGREEMENT

The undersigned:

[SERVICE PROVIDER], a company with limited liability, organized under the laws of the [COUNTRY], having its registered address at [CITY], [ADDRESS]., [COUNTRY], identification number: [ENTITY ID], tax number: [TAX ID], registered in the [CITY] District Court, legally represented by Ms. [REPRESENTATIVE NAME], the Company Executive (hereinafter referred to as “[SERVICE PROVIDER]”),

[CLIENT] with its registered office at [ADDRESS], [CITY], under company number xxxxxxxx, tax identification number xxxxxxxx, represented by XY (hereinafter referred to as the ”Client“).

([SERVICE PROVIDER] and the Client, hereinafter individually each a “Party” and collectively also referred to as “Parties”)

entered effective as of [EFFECTIVE DATE] (the “Effective Date”) into the following service agreement (the “Agreement”).

[SERVICE PROVIDER] General Terms and Conditions for Provision of Services (the “General Terms and Conditions”) and Appendices specified here below form an integral part of this Agreement. By signing this Agreement the Client confirms that it has understood and it accepts the General Terms and Conditions.

In case of any discrepancy between this Agreement and the General Terms and Conditions, the terms and conditions stipulated in this Agreement shall prevail.

Subject of the Agreement

The subject of this Agreement is an obligation of [SERVICE PROVIDER] to provide to [CLIENT] throughout the term hereof Services specified in Appendix No. 1 to this Agreement and an obligation of the Client to accept the Services from [SERVICE PROVIDER] and pay the agreed remuneration to [SERVICE PROVIDER], as specified in Appendix No. 1.

Term and termination of the Agreement

This Agreement becomes valid and effective as of the Effective Date above once signed by all Parties and is entered into for an indefinite period of time.

Contractual relationships hereunder cease to exist by agreement of the Parties, by termination or withdrawal according to the following provisions or based on other legal grounds under the relevant statutory provisions.
