CONTRACT SERVICES AGREEMENT

This Contract Services Agreement (this “Agreement”), dated as of the __________ day of _________ 202___ (the “Effective Date”), is entered into by and between ____________________________, a _____________________[corporation/LLC/[Other Entity]], with offices located at ________________ (“Service Provider”) and [Company Name] LLC, a _________________ limited liability company, with offices located at _______________ (“[Company Name]” and together with the Service Provider, the “Parties”, and each a “Party”).

RECITALS

Service Provider has the capability and capacity to provide certain _________________________ services; and

[Company Name] desires to retain Service Provider to provide the said services under the terms and conditions hereinafter set forth, and Service Provider is willing to perform such services;

In consideration of the mutual covenants and agreements hereinafter set forth and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Service Provider and [Company Name] agree as follows:

Services.

Service Provider shall provide [Company Name] the services (the “Services”) set out in one or more statements of work to be issued by [Company Name] and accepted by Service Provider (each, a “Statement of Work”). The initial accepted Statement of Work is attached hereto as Exhibit A. Additional Statements of Work substantially in the same form as the Statement of Work attached hereto shall be deemed accepted and incorporated into this Agreement only if signed by the Service Provider Contract Manager (as defined in Section 2.1(a) below) and the [Company Name] Contract Manager (as defined in Section 3.1 below), appointed pursuant to Section 2.1(a) and Section 3.1, respectively. The Service Provider shall provide the Services (a) in accordance with the terms and subject to the conditions set forth in the respective Statement of Work and this Agreement; (b) using personnel of required skill, experience, and qualifications; (c) in a timely, workmanlike, and professional manner; and (d) in accordance with the highest professional industry standards in Service Provider’s field; and (e) to the [reasonable] satisfaction of the [Company Name].

For the sake of clarity, nothing in this Agreement shall be construed to prevent the [Company Name] from performing for itself or from acquiring from other providers services that are similar to or identical to the Services.
