WASTE PLASTIC SUPPLY AGREEMENT
This Waste Plastic Supply Agreement (the “Agreement”) is made and entered into this ____ day of _____________, 2020 (“Effective Date”), by and between [COMPANY], a limited liability company organized under the laws of the State of Georgia whose principal place of business is at [ADDRESS] or any designated project-level entity, the majority ownership of which resides with [COMPANY] (“Cirque” or “Buyer”) and ______________________, a _______________ corporation (“Waste Management” or “Supplier”). Cirque and Supplier may be referred to herein each individually as a “Party” and collectively as the “Parties.”
RECITALS
Cirque is in the business of developing, co-locating and operating Waste Plastic conversion units that shall use a patented electromagnetic process to convert certain waste plastic feedstocks into repurposed products such as Low Sulfur diesel fuel and other by-products (each a “Cirque Unit”). The Cirque Unit(s) shall to be located adjacent to or near the Supplier’s plant or a source of the Supplier’s offtake (“Supplier Feedstock Generation Facility”) which is located at or near [VENDOR FACILITY] (“MRF”).
Supplier has certain waste collection facilities that currently generate significant quantities of waste Plastic.
The annual volume of offtake generated by the Supplier in the course of their respective operations is estimated to be no less than 7,500 tons per year and no greater than 10,000 tons per year. Supplier agrees to provide to Cirque the Supplier Feedstock for the entire Term;
Supplier collects and manages the Supplier Feedstock in accordance with all applicable state and federal environmental regulations and permits;
Cirque shall accept any and all Supplier Feedstock subject to maximum quantities set forth herein which Cirque may use to generate repurposed products from the Supplier Feedstock Generation Facilities, to the extent certain composition specifications are met;
Cirque’s conversion process shall be in compliance with those certain requirements as may be set forth herein; and
Cirque wishes to obtain certain Supplier Feedstock from Supplier for the Cirque Unit and Supplier wishes to provide Cirque with such materials pursuant to the terms and conditions of this Agreement and shall not, during the Term, take the Supplier Feedstock to another facility, except as otherwise provided in this Agreement, during the Term.
AGREEMENT
NOW, THEREFORE, for and in consideration of the Recitals, terms, covenants and conditions herein contained, along with other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by each Party hereto, the Parties agree as follows:
