NON EXCLUSIVE REFERRAL AGREEMENT

THIS LIMITED CONTRACT (this “Contract”) is made this day of , 201 by and between the [REFERRAL ORGANIZATION](herein after called the"REFERRAL ORGANIZATION"), its member consultants/brokers, (herein after called the “FRANCHISE CONSULTANT/BROKER"), and

WITNESSETH:

1. Scope of Engagement and Compensation Structure. The FRANCHISOR agrees to accept referrals from the member FRANCHISE CONSULTANT/BROKER of qualified candidates for the purchase of the franchise opportunity offered by the FRANCHISOR, subject to the following terms, restrictions, and conditions:

The only compensation to the member FRANCHISE CONSULTANT/BROKER for a referral resulting in a franchise sale is listed below. It is understood that the member FRANCHISE CONSULTANT/BROKER collects one hundred percent (100%) of this referral fee. All referral fees shall be computed on franchise sales resulting from the member FRANCHISE CONSULTANT/BROKER referrals actually completed and will be paid and delivered within 10 days of an executed franchise agreement between the referral and the FRANCHISOR.

UNITED STATES REFERRAL FEES

Single Unit Referral Fee: (typically 50% of Franchise Fee)

Multiple Unit Referral Fee: (typically 50% of Franchise Fee)

Area / Master Development Referral Fee: (typically 50% of Franchise Fee)

Resale Unit Referral Fee: (typically 10% of full resale price)
