ASSOCIATE DENTIST EMPLOYMENT AGREEMENT

This Amended and Restated Associate Dentist Employment Agreement (the “Agreement”) amends and restates the Associate Dentist Employment Agreement by and between [COMPANY], P.C., a Texas professional corporation, (“GDC”), and [INDIVIDUAL] (“Dentist”) effective as of the [DATE] is hereby amended and restated in its entirety effective as of the [DATE] (the “Effective Date”).

RECITALS

This Agreement is made with reference to the following facts:

GDC is a professional corporation organized in the Texas Professional Corporation Act [Title 32, Chapter 18, Article 1528 et seq.];

Dentist currently holds a license to practice dentistry and is in good standing with respect thereto under all applicable governing bodies, including but not limited to the Texas State Board of Dental Examiners and pursuant to all applicable rules and regulations, including, but not limited to the Dental Practices Act and the Texas Occupational Code (collectively, the “Law”);

GDC is engaged in the practice of dentistry and the provision of dental services to the general public in and around the Southeast Texas area through individual dentists who are licensed to practice dentistry in the State of Texas and who are employed or otherwise retained by GDC; and

GDC wishes to engage Dentist as an Associate Dentist to provide dental care and clinical services and Dentist desires to provide such services all upon the terms and conditions hereinafter set forth.

AGREEMENT

NOW, THEREFORE, in consideration of the mutual terms, covenants and conditions hereinabove and hereinafter set forth including certain sums of money, the amount and sufficiency of which Dentist hereby acknowledges, the parties agree as follows:

EMPLOYMENT, DUTIES AND RESPONSIBILITIES

Employment of Dentist. GDC employs Dentist to provide primary care outpatient dental services within the limits of his/her training. Dentist is responsible for providing quality dental health care at the designated GDC clinic in accordance with guidelines set forth in this Agreement, and such other policies, procedures and regulations of the GDC Board in effect from time to time as communicated to Dentist.

Start Date. As agreed upon by both Parties, the Dentist shall report to the GDC office and begin work on [DATE] (the “Start Date”)

Start Date Contingency. Dentist’s start date is contingent upon Dentist’s meeting the conditions set forth in Section 1.4.10 of this Agreement. GDC may postpone the Start Date until such conditions are met and Dentist’s compensation under ARTICLE 3 does not commence until the Start Date.
