ENZYME SUPPLY AGREEMENT

This enzyme supply agreement (“Agreement”) is made and entered into effective as of [DATE] (“Effective Date”) by and between [COMPANY], a [STATE] corporation with a principal place of business located at [ADDRESS] (referred to as “Supplier”) and [COMPANY], with a principal place of business located at [ADDRESS] (referred to as “Buyer”).

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

CORE TERMS.

Term of Agreement. The term of this Agreement shall commence upon the Effective Date and terminate on [DATE] (the “Term”), unless sooner terminated as provided in this Agreement.

Percent Commitments. As a material inducement to Supplier entering into this Agreement, Buyer hereby commits to purchasing from Supplier ninety percent (90%) of their alpha amylase needs and ninety percent (90%) of their glucoamylase needs (known as the “Percent Commitment”). The remaining ten percent (10%) of the Buyer’s alpha amylase and glucoamylase needs may be secured from Supplier or from an alternative supplier for purposes of product qualification trials or testing of new technology.

In the event Buyer does not meet its Percent Commitment, Supplier shall have the right in its sole discretion to terminate this Agreement in whole or in part.

Products and Pricing. The products to be purchased hereunder by the Buyer (the “Products”) and the price per unit applicable to each Product are contained in Exhibit C.

All prices listed are in United States Dollars and shall be paid within thirty (30) days from invoicing date.

The prices as set forth in Exhibit C include freight to Buyer’s location (F.O.B. Buyer’s location).

For tote (Schutz container) quantities add [AMOUNT]. The minimum single bulk order size to be shipped to any one location will be one truckload of Product, which is approximately 20,000 kg. Please allow at least ten (10) business days minimum for delivery of bulk orders. For less than truckload non-bulk orders (e.g. drums or totes) a minimum of ten (10) business days is required for delivery of such order. For shorter than minimum lead times, weekend shipments, split or compartmental tanker loads or less than truckload quantities additional charges will apply. The Products are not to be resold, exchanged, sampled and/or transferred to any party or facility.

New Products. Any new enzymes tested by Supplier at Buyer’s facility will count towards the Percent Commitment of this Agreement and may be substituted for the corresponding Product for which new pricing will be mutually agreed upon. Supplier agrees that such new pricing will be competitively priced.
