AMENDMENT TO BIOMASS SUPPLY AGREEMENT
This Amendment to Biomass Supply Agreement (this “Amendment”) is made as of the __ day of [DATE] by and between [COMPANY], an [STATE] corporation (“[COMPANY]”), and [COMPANY], a [STATE] limited liability ("[COMPANY]") (both [PARTY B] and [PARTY A] are collectively referred to herein as the “Parties” and each as a "Party").
RECITALS
WHEREAS, the Parties entered into a Biomass Supply Agreement dated as of [DATE] (the “Agreement”).
WHEREAS, pursuant to Section 4 of the Agreement, the Parties had a sixty (60) day period following the Effective Date to develop a Supply Protocol.
WHEREAS, the Parties agree that they need additional time to complete the Supply Protocol.
NOW, THEREFORE, in consideration of the promises and mutual covenants and conditions contained herein, including the above Recitals which are incorporated by reference and made a part of this Amendment, [PARTY A] and [PARTY B] agree to amend Section 4.1 of the Agreement to provide that the timeframe for the Parties to develop, finalize and agree upon the Supply Protocol is extended to [DATE].
Except as hereby amended, the Agreement remains in full force and effect.
