ASSOCIATE DENTIST EMPLOYMENT AGREEMENT

This Associate Dentist Employment Agreement (the “Agreement”) is made and entered into effective as of the ________________, by and between [COMPANY], P.C., a Texas professional corporation, (“GDC”), and [INDIVIDUAL] (“Dentist”).

RECITALS

This Agreement is made with reference to the following facts:

GDC is a professional corporation organized in the Texas Professional Corporation Act [Title 32, Chapter 18, Article 1528 et seq.];

Dentist currently holds a license in the state of Arizona to practice dentistry and is in good standing with respect thereto under all applicable governing bodies, including but not limited to the Arizona State Board of Dental Examiners and pursuant to all applicable rules and regulations, including, but not limited to the Dental Practices Act and the Arizona Professions and Occupations Code. (collectively, the “Law”);

GDC is engaged in the practice of dentistry and the provision of dental services to the general public in and around the Southeast Texas area through individual dentists who are licensed to practice dentistry in the State of Texas and who are employed or otherwise retained by GDC; and

GDC wishes to engage Dentist as an Associate Dentist to provide dental care and clinical services and Dentist desires to provide such services all upon the terms and conditions hereinafter set forth.

AGREEMENT

NOW, THEREFORE, in consideration of the mutual terms, covenants and conditions hereinabove and hereinafter set forth, the parties agree as follows:

EMPLOYMENT, DUTIES AND RESPONSIBILITIES

Employment of Dentist. GDC employs Dentist to provide primary care outpatient dental services within the limits of his/her training. Dentist is responsible for providing quality dental health care at the designated GDC clinic in accordance with guidelines set forth in this Agreement, and such other policies, procedures and regulations of the GDC Board in effect from time to time as communicated to Dentist.

Conditions Precedent to Dentist's Start Date. In addition to the applicable terms and consitions set forth in Section 1.4.10 of this Agreement, the commencement of Dentist's employment hereunder (the "Start Date") and GDC duties and obligations as set forth in this Agreement are conditioned upon either the wiaver in writing by GDC or the successful fulfillment to GDC's satisfaction of the following conditions precedent:

Dentist shall apply for and obtain the requisite license in the state of Texas to lawfully practice dentistry and perform in a manner as contemplated by this this Agreement;
