[COMPANY] shall engage [COMPANY] as its supplier of the Products in the Initial Territory as defined in Exhibit A and [COMPANY] hereby accepts such engagement. [COMPANY] shall cause the Products to be manufactured and produced and shall undertake commercially-reasonable efforts to provide sufficient supply of the Products to fill all of [COMPANY]’s Purchase Orders (as defined herein) therefore.
The quantities of the Products to be shipped to [COMPANY] shall be confirmed to [COMPANY] after the receipt by [COMPANY] of a Purchase Order for the same from [COMPANY] and, unless otherwise mutually agreed in writing by the parties, shall be shipped to [COMPANY] within thirty (30) days after acceptance by [COMPANY] of a Purchase Order for same from [COMPANY].
[COMPANY] agrees that all Products purchased by [COMPANY] from [COMPANY] hereunder shall be for resale solely within the Initial Territory.
[COMPANY] shall not to sell and shall use reasonable efforts to ensure that [COMPANY]’s affiliates, if any, do not sell or re-sell, any of the Products outside the Initial Territory.
