First Amendment to the EECS- GO Agreement

This First Amendment to the EECS- GO Agreement (“First Amendment”) is made as of [DATE] (the “Amendment Effective Date”) describes an amendment between [COMPANY], and [COMPANY], (collectively, the “Parties” and individually, a “Party”) for the sale, purchase, and Delivery of EECS-GO Certificates (“GOs”) in accordance with the terms of the EECS- GO Agreement between the Parties dated [DATE] (the “Agreement”).

WHEREAS, the Parties wish to amend the Agreement to reflect the correct the Date of Transfer;

WHEREAS, initially capitalized terms used and not otherwise defined herein are as defined in the Agreement; and

NOW THEREFORE, in consideration of the Parties’ mutual covenants and promises, the Parties agree that as of the Amendment Effective Date the changes are as follows:

The Date of Transfer in Clause IX (Transfer) shall be deleted in its entirety and replaced with “Date of Transfer: On or before [DATE]”;

All other terms and conditions set forth in the Agreement shall remain in full force.

The Parties agree and represent that the person signing this First Amendment is authorized to execute on behalf of the Party for whom they sign.
