ENVIRONMENTAL PRODUCT

PURCHASE SALE AGREEMENT

IN WITNESS WHEREOF, the parties hereto have caused this Environmental Product Purchase and Sale Agreement (the “Agreement”) to be executed by their respective authorized signatories as of the day and year first above written (the “Effective Date”).

Purchase and Sale. Seller agrees to sell and Buyer agrees to purchase the Environmental Products, as specified in Exhibit A, pursuant to the terms and conditions set forth in this Agreement.

Definitions. The following capitalized terms have the following meanings in this Agreement:

“[COMPANY] Attestation Form”means [_____________]. [NTD: Bracketed definitions to be reviewed and confirmed by [COMPANY].]

“Affiliates” means, with respect to any person, any other person that, directly or indirectly, through one or more intermediaries, controls, or is controlled by, or is under the common control with, such person, with “control” meaning the direct or indirect ownership of fifty percent (50%) or more of the outstanding capital stock or other equity interests having ordinary voting power.

“Agreement” has the meaning set forth in the Preamble.

[“Applicable Standard” means the international, state, federal, mandatory or voluntary standard (including, without limitation, the GRE Standard) or set of rules which must be met by the Environmental Product to be Delivered to Buyer, as specified in Exhibit A hereto.]

“Buyer” means [____________].

[“Buyer’s ESP” means the applicable utility or other electricity service provider providing energy to Buyer.]

[“Carbon Offset” means an instrument that represents reduction or removal of one metric ton of carbon dioxide or carbon dioxide equivalent (MtCO2e) measured and verified against the requirements of the Applicable Standard.] [NTD: Please confirm if this agreement will be used for the purchase and sale of Carbon Offsets, in addition to the Carbon Offsets Purchase and Sale Agreement.]

[“Center for Resource Solutions” means the organization responsible for administrating and operating the Green-e® certification program and administrating and monitoring the GRE Standard.]

“Contract Price” means the price per unit of Environmental Product, as specified in Exhibit A.
