FEEDSTOCK SUPPLY AGREEMENT

This Feedstock Supply Agreement (“Agreement”) is made and entered into as of the ______ day of __________202__ (“Effective Date”), by and between ______________________, an _____ limited liability company (“Project Operator”), and ________________ an _______ limited liability company (“Supplier”). Project Operator and Supplier may individually be referred to as a “Party” and collectively as the “Parties.”

RECITALS

WHEREAS, dairy cow manure which must be managed and disposed of in an environmentally and socially responsible manner (“Manure”) is generated at Supplier’s farming operations that include each of the _________ Dairy Barn, the _________ Dairy New Barn and the [[INDIVIDUAL]]’s Barn (each a “Barn”, and collectively, the “Barns”), as the Barns are each further described in Exhibit C (collectively, the “Supplier Operations”), as located at ____________________________________ (the “Supplier Operations Location”); and

WHEREAS, Supplier desires to improve upon its Existing Manure Management Practices (as defined in Section 1.1) in a manner that has environmental and revenue-generating benefits; and

WHEREAS, such improvement requires a significant expenditure of time and resources by Supplier; and

WHEREAS, Project Operator desires to develop, own and operate (a) an anaerobic digester facility that is designed to collect and process Manure from Supplier and from other neighboring dairy and hog operations, which facility includes (i) a digester tank, a reception pit, a dewatering station, piping, auxiliary buildings, equipment, tools and materials used during or in support of the anaerobic digestion process and (ii) a gas cleanup system and associated equipment designed to process biogas into renewable natural gas for delivery, all of which is to be located on the premises owned by _________ [COMPANY] (the “Project Landlord”), and (b) certain piping, pumps and ancillary equipment in support of such facility (the “Supplier Equipment”), which the Parties desire to locate on the Supplier Premises (as defined in Section 1.1) (collectively, as further defined herein, the “Project”); and

WHEREAS, Manure from the Supplier Operations will be transported by pipeline from the Supplier Premises to the Project Premises; and

WHEREAS, concurrent with the execution of this Agreement, and as part of the consideration hereunder, Project Operator will enter into Site Leases (as defined in Section 1.1) for each of the Supplier Premises and the Project Premises, along with any required easements and rights-of-way for construction, installation and operation of various required interconnection systems.
