Re: Letter of Intent regarding Cooperation on “[PROJECT]” Project

Dear [INDIVIDUAL]:

First and foremost, thank you for your patience in working with us on this exciting venture. We are confident that we can bring to the market key offerings that will make the path to wellness for many even easier to navigate. As we have discussed, the purpose of this letter of intent (“LOI”) is to set forth certain nonbinding understandings and certain binding agreements between [COMPANY], a [STATE] Limited Liability Company (“[COMPANY]”) and [COMPANY], a [STATE] Professional Limited Liability Company (“[COMPANY]”), with respect to developing a working relationship between [COMPANY] and [COMPANY], the memorialization of which, as determined by the parties, may include the execution of certain documents and agreements which may include a Cooperative Agreement or such other documents as [COMPANY] and [COMPANY] determine are appropriate, and on similar terms and subject to similar conditions as set forth below in this LOI (collectively, the entire relationship between [COMPANY] and [COMPANY] reflects and effort by the parties to leverage up their respective business Assets (as defined below) to improve the consumers’ path to wellness, the same being referred to herein as the “[PROJECT]”).

I. NONBINDING UNDERSTANDINGS

The following numbered paragraphs reflect our current understanding of the matters described herein, and shall confirm the discussions to date between the parties hereto, but do not constitute a definitive statement of, or a legally binding commitment on the part of, any party with respect to the matters described therein and do not impose on any party any duty or obligation to negotiate towards or conclude any such agreement or commitment.

[COMPANY] Business, [COMPANY] Business and the Purpose of [PROJECT]. [COMPANY] has a component of its business that is devoted to the development of, among other health solutions, (i) supportive, collaborative community of those individuals affective with mental health challenges and their caregivers, all working together toward improving brain health and (ii) personal therapeutic plans for patients that include recommendations for optimizing your body’s chemistry, as well as nutrition and lifestyle recommendations that have been shown to impact brain health (the “[COMPANY] Business”). [COMPANY] is a personal genomics company providing at home DNA tests and assays which determine a customer’s unique reactions to certain cannabis compounds. [COMPANY] delivers individuals with guidelines regarding the effects cannabanoids will have on their medical consdition based on genetic makeup. the “[COMPANY] Business”). Certain efforts, contributions, expertise, intellectual property (the “Assets”) of the [COMPANY] Business and the [COMPANY] Business, as more fully described below, shall be contributed, offered, deployed or put to use by and for the [PROJECT]. The parties hereto acknowledge that one of the principal purposes of the proposed [PROJECT] described herein is to use the above referenced Assets in some respect and combination as mutually agreed upon to develop new or enhance each of the party’s respective existing products, services or new products/services of the parties for improving the path to wellness for clients and customers.
