GREENHOUSE LEASE AGREEMENT

This Greenhouse Lease Agreement (this “Lease”) is made as of the _____ day of ______________ [YEAR] (the “Effective Date”), between _____________________, a limited liability company organized under the laws of Commonwealth of Massachusetts having its principal office at _________________________ (the “Landlord”), and [COMPANY], a limited liability company organized under the laws of [STATE], having its principal office at___________________________(the “Tenant”).

RECITALS

Landlord has acquired all of the right, title and interest in that certain parcel of property on which currently is located certain greenhouse growing facilities, as more particularly described in Exhibit A attached to and by this reference incorporated in this Lease (the “Property”), together with all improvements located or to be constructed on the Property in accordance with the terms of this Lease (collectively, the “Premises”); and

The Premises as set forth on Exhibit A, consist of that certain ___________ square foot greenhouse with a _________________ square foot pump house/head house and an additional ________________ square foot head house (collectively, the “Buildings”);

In consideration of the above Recitals which are incorporated herein and made a part of this Lease, and of the mutual benefits and obligations set forth in this Lease, the parties agree as follows:

AGREEMENT

SECTION ONE

PROPERTY; TERM; PERMITS AND APPROVALS

A. Premises.

By this Lease, Landlord leases to Tenant and Tenant leases from Landlord the Premises. The Premises are situated on the real property described in Exhibit A attached to this Lease.

B. Lease Term.

1. Initial Term.

The initial term of this Lease (the “Initial Term”) shall be ___________ full calendar months from the Effective Date, plus the portion of the month in which the Effective Date occurs if the Effective Date is other than the first (1st) day of the month.
