BIOMASS SUPPLY AGREEMENT

This Biomass Supply Agreement (the “Agreement”) is made as of the _____ day of ____________, 202__ (the “Effective Date”) between ________________Renewable Fuels, LLC, an ___________ Limited Liability Company (together with its successors and assigns hereunder, “Buyer”), and _______________________, a ______________________ [corporation]/[limited liability company] (together with its successors and assigns hereunder, “Supplier”).

RECITALS

Supplier generates considerable amounts of Biomass in the ordinary course of it business;

Supplier desires to sell certain of its Biomass to Buyer and shall collect and deliver or have delivered Biomass to the Facility pursuant to the terms of this Agreement;

Buyer, in reliance upon Supplier’s agreement hereunder to supply and deliver Biomass, intends to design, build, own and operate an advanced biorefinery to be located in [CITY], [STATE] (the “Facility”); and

Buyer wishes to obtain that certain volume of Biomass necessary for the continuous operation of the Facility from Supplier and Supplier wishes to provide Buyer with such volumes of Biomass pursuant to the terms and conditions of this Agreement.

AGREEMENT

In consideration of the above Recitals, which are incorporated in this Agreement and made a part hereof, and the mutual covenants and agreements herein contained, including other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:
