Re: General Terms and Conditions of proposed [COMPANY] sponsored Radio and Video productions
Dear [INDIVIDUAL]:
I am pleased to provide this letter to you setting forth the terms of your radio and video interviews of the individuals set forth below.
The term of this arrangement shall commence on [DATE] and terminate on [DATE], unless further extended o earlier terminated by mutual written agreement between you and [COMPANY].
[COMPANY] shall compensate for your services (See Scope below) and products with a total payment of [AMOUNT]. [COMPANY] will pay a [AMOUNT] deposit, and [AMOUNT] each subsequent month until the balance has been paid. Your work will be coordinated by [INDIVIDUAL], [TITLE].
All information obtained by you in connection with your activities hereunder, including technical and cost information, shall be treated as confidential and proprietary information of [COMPANY] that you shall not use for your own benefit or for any purpose other than fulfilling your obligations under this Agreement, and shall not disclose to any third party except with [COMPANY]’s prior written consent.The foregoing obligation shall not apply to information which was (a) otherwise publicly available, (b) previously known to you free of any duty of confidentiality, or (c) required to be disclosed pursuant to applicable law. Your confidentiality obligations hereunder will remain in force for a period of one year following termination of your work for [COMPANY].
