Re: Letter of Intent – [PROPERTY]

Dear [INDIVIDUAL]:

As recently discussed with [INDIVIDUAL] of [COMPANY], I the ("Buyer") am interested in purchasing the approximately [AMOUNT]-acre [PROPERTY] property located in the [CITY], [STATE] (the "Property") owned by [COMPANY] (“Seller”).

The Buyer intends that the Property be acquired for conservation, with ownership ultimately held by [COUNTERPARTY] and/or [COUNTY] as an addition to the [PROPERTY], or other appropriate steward or combination of stewards (in any case, a “Stewardship Partner”).

Buyer proposes the following basic terms of a purchase of the Property:

Option: Seller would grant Buyer an exclusive option to purchase the Property (the “Option”), in consideration of [AMOUNT] (the “Option Consideration”) which Buyer would deposit into an escrow established with an escrow agent approved by the parties (“Escrow”) on execution of an Option Agreement (the “Agreement”), as set forth in paragraph 12 below. The Option Consideration would be nonrefundable, except on Seller’s failure, refusal, or inability to perform any of Seller’s obligations under the Agreement and would be credited toward the purchase price. Buyer would have ten (10) months from the execution of the Agreement (the “Option Term”) to exercise the Option. Seller would record a memorandum of the Agreement in [COUNTY] records.

Purchase Price: [AMOUNT], all cash which would be paid at closing.
