FORM OF FEEDSTOCK SUPPLY AGREEMENT

This Feedstock Supply Agreement (“Agreement”) is made and entered into as of [______, 2021] (“Effective Date”), by and between [_____], a [_____] (“Project Operator”) and [_____], a [_____] (“Supplier”). Project Operator and Supplier may individually be referred to as a “Party” and collectively as the “Parties.”

RECITALS

WHEREAS, animal manure which must be managed and disposed of in an environmentally and socially responsible manner (“Manure”) is generated at [_____]’s farming operations (the “Supplier Operations”) located at [_____] (the “Supplier Operations Location”); and

WHEREAS, Supplier desires to improve upon its Existing Manure Management Practices (as defined in Section 1.1) in a manner that has environmental and revenue-generating benefits; and

WHEREAS, such waste handling requires a significant expenditure of time and resources by Supplier;

WHEREAS, such facilities rely upon animal waste as a feedstock, greatly reduce animal waste handling requirements and significantly reduce the associated environmental impacts for dairies;

WHEREAS, Project Operator will locate and operate the Project (as defined in Section 1.1) on the Project Premises (as defined in Section 1.1); and

WHEREAS, Project Operator desires to locate certain pumps and ancillary equipment (the “Supplier Equipment”) on the Supplier Premises (as defined in Section 1.1); and

WHEREAS, Manure owned by Supplier will be transported via pipeline or truck from the Supplier Premises to the Project Premises;

WHEREAS, Supplier desires Project Operator to locate and operate the Supplier Equipment on the Supplier Premises in exchange for Project Operator’s performance of the obligations and conditions stated herein; and

WHEREAS, concurrent with the execution of this Agreement, and as part of the consideration hereunder, Project Operator will enter into a Site Lease (as defined in Section 1.1) for the Supplier Premises[ along with the required easements and rights-of-way for [construction, installation and] operation of various required interconnection systems].

[WHEREAS, Supplier desires to grant and convey to Project Operator, and Project Operator desires to accept from Supplier, the Easement Parcels, pursuant to the terms and conditions of this Agreement.]

NOW THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt thereof being hereby acknowledged, the Parties hereby agree to the terms contained herein.
