This is a Transaction under the GasEDI Base Contract for the Sale and Purchase of Natural Gas dated [DATE] including the General Terms and Conditions, as amended by this Transaction Confirmation, and is made between the parties hereto subject to the terms and conditions set forth herein.

IT IS AGREED:

Definitions.

Capitalized terms used, but not defined in this Transaction Confirmation, have the meanings given to those terms in the General Terms and Conditions of the Base Contract. Capitalized terms that are defined in this Transaction Confirmation replace or are in addition to, as applicable, those in the General Terms and Conditions:

"Applicable Law" means:

(a) any statute or proclamation or any delegated or subordinate legislation, including regulations, rules, by-laws, standards, ordinance and codes;

(b) any order, direction, directive, permit, request for information, policy, administrative interpretation, guideline, or rule of or by any governmental authority; and

(c) any judgment of a relevant court of law, board, arbitration, or administrative agency which is a binding precedent in the Province of British Columbia or the jurisdictions where Buyer or Seller otherwise operate;

and in each case, applicable to the parties, their facilities, or Biomethane supply, or the Contract.

"Base Rate" has the meaning set out in Section 11(a) of this Transaction Confirmation.
