SOLAR ENERGY LEASE

This SOLAR ENERGY LEASE (this “Lease”) is made and entered into effective as of __________ ___, 2020 (the “Effective Date”) by and between (“Owner”) and [______________], LLC, a Delaware limited liability company (together with its successors and assigns, the “Lessee”).

RECITALS

Owner is the owner of that certain property containing approximately ______ acres of land described on Exhibit “A” attached hereto and made a part hereof for all purposes (together with all surface rights and air space rights above, over and across the land, the “Premises”).

Lessee desires to develop, construct and operate a commercial solar energy project consisting of a solar energy generating facility (the “Generating Facility”), including, without limitation, transmission, distribution, and collection lines, solar panels, heliostats, energy storage equipment, energy storage facilities, batteries, charging and discharging equipment, substations, mounting substrates or supports, wiring and connections, power inverters, service equipment, construction and operation facilities, and associated structures, metering equipment, service roads, utility interconnections and any and all other related equipment and facilities, all of the foregoing to be located in, on, over and under the Premises and other properties leased or owned by Lessee adjacent to or in the proximity of the Premises (the “Project”).

Owner and Lessee desire to enter into this Lease on the terms and conditions hereinafter set forth.

Basic Lease Information/Definitions. The following terms shall have the following meanings:

Each reference in the Lease to any of the information and definitions set forth in this Section 1 or the Recitals shall mean and refer to the information and definitions hereinabove set forth and shall be used in conjunction with and limited by all references thereto in the provisions of this Lease.

Granting Clause. Owner, for and in consideration of the applicable Development Term Payment and the Rental and other payments to be paid hereunder and the other covenants and agreements to be performed by Lessee, and intending to be legally bound, hereby demises and leases the Premises to Lessee, and Lessee hereby leases the Premises from Owner on the terms and conditions set forth herein, commencing on the Effective Date and ending on the last day of the Lease Term unless sooner terminated or extended as herein provided.

Development Term Payments. During the Development Term, Lessee shall pay Owner the Development Term Payments. No later than five (5) days following the beginning of the Development Term, Owner shall provide Lessee with Owner’s bank account information, including wiring instructions, enabling Lessee to make timely payments in accordance with the terms of this Lease.
