SPEAKER ENGAGEMENT AGREEMENT

This Speaker Engagement Agreement (this “Agreement”), dated as of the ________ day of _____________ 202___ (the “Effective Date”), is entered into by and between [ORGANIZING ENTITY NAME], a [STATE OF ORGANIZATION] [ENTITY TYPE] having [its principal place of business/an address] at [BUSINESS ADDRESS] (“Company”), and __________________, an individual residing at [SPEAKER ADDRESS] (“Speaker,” and together with Company, the “Parties,” and each a “Party”).

RECITALS

A. Whereas, Company is in the business of ________________________;

B. Whereas, Speaker is an expert in the area of,_____________________;

C. Whereas, Company desires to engage Speaker for the purpose of ________________; and

D. Whereas, Speaker is employed by__________________________.

Now therefore, in consideration of the mutual covenants set forth herein, including the above Recitals which are incorporated herein and made a part of this Agreement, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows:

Services.

Company hereby engages Speaker to speak at the [EVENT] (the “Event”) on [DATE] at [SITE ADDRESS] or such other site to which the Event might be relocated (the “Presentation”). Speaker accepts this engagement pursuant to the terms and subject to the conditions set forth in this Agreement.

The total length of the Presentation shall be [one hour/[OTHER PERIOD]]. [The Speaker shall reserve [NUMBER] minutes of the Presentation for a question and answer session with audience members.] The commencement time for Speaker’s presentation shall be determined in the sole discretion of the Company[ which shall provide [reasonable/a minimum of [NUMBER] [hour[s]/minutes] notice of the commencement time to Speaker]]. [The Company shall use its best efforts to maintain the Event schedule [and to accommodate Speaker’s travel arrangements] [but Speaker acknowledges and agrees that the commencement time may be subject to change for reasons beyond the Company’s reasonable control.]]

Company shall provide, during the Presentation, sound [and lighting] equipment[, a PowerPoint-capable projector and laptop computer], and support services that it determines to be required for the Presentation. [Speaker shall provide any PowerPoint, video, or other materials to be projected during the Presentation to Company at least [NUMBER] days prior to the Event in final format.] If Speaker requires any non-typical equipment or support, it must inform Company at least [NUMBER] days prior to the Event. Company shall have the right, in its sole discretion, to reject any request that it deems to be unreasonable or excessively costly.
