EQUIPMENT PURCHASE AND INSTALLATION AGREEMENT

This Equipment Purchase and Installation Agreement (“Agreement”) is entered into effective as of the _______ day of ________, [YEAR] (the “Effective Date”), by and between [COMPANY], an Oregon corporationwith its principal place of business located at [ADDRESS] (“Company”) and [SUPPLIER], a Washington corporation qualified to do business in the State of Oregon ([ID]) with its principal place of business located at [ADDRESS] (“Supplier”) in consideration of the mutual covenants and conditions hereinafter stated.

Recitals

Supplier designs and manufactures equipment used for the extraction of petroleum products from waste plastic, and owns proprietary technology covering the equipment and the extraction process.

Company wishes to purchase such equipment, with exclusive use rights in a certain geographic territory, in return for a license fee payable to Supplier based upon sales of petroleum products extracted from waste plastic using Supplier’s equipment purchased by Company.

The Parties are separately entering into a License Agreement (attached to this Agreement as Exhibit D), covering license to Company of “Proprietary Property” as defined in the License Agreement; and an “Oil Marketing and Distribution Agreement” (attached to this Agreement as Exhibit E) covering purchase and resale by Supplier of petroleum products extracted by Company using the Equipment covered by this Supply agreement.

NOW, THEREFORE, in consideration of the mutual promises and agreements herein contained and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereto hereby agree as follows:

. The initial Products to be purchased by Company are identified in Exhibit B – Products and Initial Pricing.
